Venture Insights Pty Ltd (ABN 68 604 130 449) (‘VI’) is the owner and operator of this Site. These are our Terms and Conditions for use of the Site which apply whenever you access the Site, regardless of how you access the Site.

Use of this Site
Users of this Site (‘Users’) agree to be bound by these Terms and Conditions. Your use of and access to this Site indicates your acceptance of these Terms & Conditions, as they exist at the time of use. VI may amend these terms and conditions at any time by posting changes on the Site.

If you use the Site after a notice of change has been provided, you will be deemed to have accepted the new terms and conditions.

Intellectual Property
All intellectual property in relation to content on this Site belongs to VI or its licensors, advertisers or affiliates. You obtain no interest in that intellectual property. All content on this Site is protected by Australian and international copyright and other intellectual property laws. You may not do anything which interferes with or breaches those laws or the intellectual property rights in the content.

You may download and view content or print a copy of material on this Site for personal, non-commercial use provided you do not modify the content in any way (including any copyright notice). All rights not expressly granted under these terms of use are reserved by VI. Unless expressly stated otherwise, you are not permitted to copy, or republish anything you find on the Site without the copyright or trademark owners’ permission.

The logos of the Site are trademarks of VI or its related bodies corporate. Other trademarks may be displayed on the Site from time to time. These may belong to third parties. Nothing displayed on the Site should be construed as granting any licence or right of use of any logo, trademark or masthead displayed on the Site, without the express written permission of the relevant owner.

By accepting any research note, the recipient agrees to be bound by the following terms of use. The research note has been prepared by Venture Insights Pty Ltd and Enders Analysis Limited and published solely for guidance and general informational purposes to authorised users under the terms of a licence agreement between Venture Insights Pty Ltd and its subscriber. You need to be expressly authorised to use it, and it may only be used for your internal business purposes and no part of this note may be reproduced or distributed in any manner including, but not limited to, via the internet, without the prior permission of Venture Insights Pty Ltd. If you have not received this note directly from Enders Analysis Limited or from Venture Insights Pty Ltd, your receipt is unauthorised. If so, or you have any doubt as to your authority to use it, please return this note to Venture Insights immediately.

The research note may contain the personal opinions of research analysts’ based on research undertaken. The note has no regard to any specific recipient, including but not limited to any specific investment objectives, and should not be relied on by any recipient for investment or any other purposes. Venture Insights Pty Ltd and Enders Analysis Limited give no undertaking to provide the recipient with access to any additional information or to update or keep current any information or opinions contained herein. The information and any opinions contained herein are based on sources believed to be reliable but the information relied on has not been independently verified. Neither Venture Insights Pty Ltd nor Enders Analysis Limited nor their respective officers, employees and agents make any warranties or representations, express or implied, as to the accuracy or completeness of information and opinions contained within the report and exclude all liability to the fullest extent permitted by law for any direct or indirect loss or damage or any other costs or expenses of any kind which may arise directly or indirectly out of the use of the note, including but not limited to anything caused by any viruses or any failures in computer transmission.

Liability and Indemnity
VI does not exclude any rights and remedies in respect of goods or services under the Australian Consumer Law in the Competition and Consumer Act 2010 (ACL) which cannot be excluded, restricted or modified. However, VI excludes all rights, remedies, guarantees, conditions and warranties in respect of goods or services from your use of the Site whether based in statute, common law or otherwise to the extent permitted by law. To the fullest extent possible and subject to VI’s liabilities and obligations under the ACL:

(a) VI does not warrant the accuracy of the content which you access through this Site. The content is provided to you “as is” and on an “as available” basis and on the condition that you undertake all responsibility for assessing the accuracy of the content and rely on it at your own risk. All content which you access through this Site may be changed at VI’s sole discretion and without notice.

(b) VI will have no responsibility or liability in relation to any loss or damage that you incur, including damage to your software or hardware, arising from your use of or access to this Site.

(c) VI does not warrant that functions of this Site or which you access through this Site, such as hyperlinks, will be uninterrupted or error free, that defects will be corrected or that VI or the server that makes it available, are free of viruses or bugs.

(d) You indemnify VI and its affiliated companies, and each of their directors, officers, employees and agents against any action, claim, loss or expense which it incurs which arises from your use of this Site

Third Party Content and Links
This Site may include third party content which is subject to that third party’s terms and conditions of use. Nothing on this Site should be construed as granting any licence or right for you to use that content.

This Site may include links to third party sites which are not related to VI and in relation to which VI has no control or interest. The appearance of those links on this site does not indicate any relationship between VI and that third party or any endorsement by VI of that third party, its site or the products or services which it is advertising on this Site.

Contributing Content
When you submit content to VI in any format, including any text, photographs, graphics, video or audio, you grant VI a non-exclusive, royalty-free, perpetual licence to publish, transmit or otherwise use that content in our published materials, now and in the future and to attribute you, using the details you have provided to us, as the author/provider of that content. VI reserves the right not to use the content you submit.

You warrant that you have all of the necessary rights, including copyright, in the content you contribute, that your content is not defamatory and that it does not infringe any law. You indemnify VI against any and all legal fees, damages and other expenses that may be incurred by VI as a result of a breach of the above warranty. You waive any moral rights in your contribution for the purposes of its submission to and use by VI in accordance with these terms.

General
Users will not use this site for any purpose or in any way which is unlawful. These Terms & Conditions shall be governed by and interpreted in accordance with the laws of New South Wales, Australia.

Fair Use Policy
Whilst users of this site are able to download content for their personal or professional use, the number of reports you download cannot be unreasonable or excessive.

An example of unreasonable or excessive use is attempting to down the entire VI report library or downloading more than 10 reports in a day.

If VI detect unreasonable or excessive downloads then VI has the right to terminate or suspend your account and will contact you to ask you to modify your use of the service.
